Terms of Service

Draft for legal review. These Terms of Service ("Terms") have been prepared in advance of legal review and may be updated before launch. The substantive provisions describe how Bidvio is presently operated.
Bidvio is owned and operated by Ogburn Tech BV ("Bidvio," "we," "us," or "our"). These Terms govern your access to and use of Bidvio's iPad and macOS applications, our marketing and billing website at bidvio.app, and any related services we make available (collectively, the "Service").
By creating a Bidvio account, signing in, subscribing, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and Accounts
The Service is intended for use by contractor businesses and their authorized users. You must be at least 18 years old and able to form a binding contract to create or use a Bidvio account.
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for the actions of any user you authorize within your company account.
2. The Service
Bidvio is a contractor estimating and appointment workflow platform. The Service helps contractor businesses manage customers, appointments, quotes, pricing, proposals, contracts, signatures, and related project documents.
We may update, enhance, or modify the Service from time to time. We may also discontinue features or entire portions of the Service, generally with reasonable notice.
3. Subscriptions, Plans, and Billing
Bidvio is offered on a subscription basis with multiple plan tiers. Plan options and current pricing are presented on the Bidvio billing website at bidvio.app/billing. By starting a subscription, you authorize Bidvio (through Stripe) to charge the payment method you provide on a recurring basis according to the plan and billing interval you selected.
3.1 Trials
New companies may be offered a free trial of paid features. Trial duration, eligibility, and feature scope are described at the time of trial signup. Unless you cancel before the trial ends, your subscription will convert to a paid subscription at the plan you selected and your payment method will be charged at the start of the first paid billing period.
3.2 Billing Intervals
Subscriptions are billed either monthly or annually based on the interval you selected at checkout. Annual pricing is approximately equivalent to paying for ten months and receiving twelve.
3.3 Seats and Add-Ons
Each plan includes a set number of user seats. Additional seats may be added to monthly subscriptions at checkout or, for both monthly and annual subscriptions, from within the Bidvio billing portal after subscribing. Per-seat add-on charges are billed monthly and may be prorated by Stripe for partial billing periods.
3.4 Renewals
Your subscription will automatically renew at the end of each billing period for another period of the same length and at the then-current price for your plan, unless you cancel before renewal. Bidvio may change subscription prices with reasonable advance notice; price changes take effect at your next renewal.
3.5 Cancellation
You may cancel your subscription at any time from the Bidvio billing portal or by following the cancellation flow inside Stripe Customer Portal. Monthly subscribers retain access through the end of the current monthly billing period. Annual subscribers retain access through the end of the current annual period. Cancellation prevents future automatic renewal.
3.6 Pause
Active subscriptions may be paused from the Bidvio billing portal. Pausing suspends billing and voids invoices that would otherwise become due during the paused period; no charges accrue while a subscription is paused. Resuming returns the subscription to its prior billable state. The total time a subscription may remain paused before becoming eligible for automated cancellation is up to 60 days.
3.7 Refunds
Bidvio does not provide refunds for partial monthly or annual subscription periods unless required by applicable law or separately agreed in writing. Charges already incurred for completed billing periods are non-refundable.
3.8 Failed Payments
If a charge fails, your subscription will enter a past-due state. You have a grace period of seven days to update your payment method before access is restricted to the free tier. We may also retry the charge on a schedule controlled by Stripe.
3.9 Setup and One-Time Packages
Bidvio may offer optional one-time setup, onboarding, or implementation packages. These are billed separately from the recurring subscription and are non-refundable once work has begun, unless otherwise agreed in writing.
3.10 Payment Processing
Payments are processed by Stripe, Inc. and are subject to Stripe's own terms and privacy policy. Bidvio does not store raw payment card numbers. Stripe maintains its own legal system of record for invoices, refunds, disputes, and tax information, independent of Bidvio's records.
3.11 Early Supporter Lifetime Access
Bidvio may offer a limited Early Supporter Lifetime package to a small, capped cohort of companies. The current cohort cap is five (5) companies. Once the cap is reached, the offer is closed and Bidvio is under no obligation to reopen it.
The Early Supporter package is a one-time payment for access to the core Bidvio service for the lifetime of the service. "Lifetime" refers to the operational lifetime of the Bidvio service and is not a personal-lifetime promise. If Bidvio sunsets the service, Early Supporter access ends with the service.
What the Early Supporter package includes:
- Access to the core Bidvio estimating and sales-appointment SaaS for the lifetime of the service
- All current core features released to general subscribers
- All future updates, bug fixes, and improvements to the core Bidvio service
- Early access to beta features when Bidvio runs internal beta programs (no obligation to ship any specific feature to general availability)
- Unlimited user seats within the purchasing company
- Unlimited locations within the purchasing company
- No recurring subscription fees
What the Early Supporter package does not include:
- Custom development or bespoke feature work
- Premium support service-level agreements
- Hands-on onboarding, implementation, or training services
- Third-party pass-through costs (for example, paid artificial intelligence services, paid integrations, or paid data feeds)
- Separate Bidvio product lines launched outside the core estimating and sales-appointment SaaS, which may be offered as separately-priced products
The Early Supporter license is entity-bound and non-transferable. It is tied to one legal company entity. It survives ordinary internal ownership and administrative changes within that company, but it does not survive sale of the company, merger, change of control, dissolution, or assignment to a new legal entity, without Bidvio's prior written consent. The license cannot be resold, sublicensed, or shared across unrelated entities.
The Early Supporter payment is non-refundable after provisioning, except where a refund is required by applicable law. By purchasing the Early Supporter package you acknowledge that the payment is consideration for product access and is not an investment, security, equity interest, profit share, or any other financial instrument, and that you are not entitled to any financial return, dividend, or distribution from Bidvio or Ogburn Tech BV in respect of the payment.
Bidvio reserves the right to suspend or revoke Early Supporter access in any of the following circumstances: (a) fraud, including chargebacks made in bad faith or misrepresentation made to obtain the Early Supporter package; (b) material breach of these Terms; (c) activity that threatens the security, integrity, availability, or lawful operation of the Service; or (d) conduct by you, your personnel, or your authorized users that, in Bidvio's reasonable judgment, makes the ongoing customer relationship untenable. Examples of conduct that may fall under clause (d) include sustained abusive, threatening, harassing, or discriminatory behavior directed at Bidvio personnel or other customers; repeated bad-faith billing disputes or chargebacks following service already rendered; public statements about Bidvio that you know or reasonably should know to be false and that are intended to harm the business; or other conduct of comparable seriousness.
For revocation under clauses (b) or (d), Bidvio will give you written notice describing the conduct at issue and a period of at least thirty (30) days from the notice date to cure the conduct, except where the conduct is not reasonably curable or where immediate action is necessary to protect Bidvio, its personnel, the Service, or other customers. Bidvio may suspend access during the cure period if reasonably necessary. No cure period is required for revocation under clauses (a) or (c).
The Early Supporter payment is non-refundable in the event of suspension or revocation under this section, except where a refund is required by applicable consumer-protection or other mandatory law. Suspension or revocation does not waive any other rights or remedies available to Bidvio.
4. Data Retention After Pause or Cancellation
When a subscription is paused or canceled, your company account enters a retention window of up to 60 days during which your data is preserved. During this window you may resume or restart your subscription without data loss.
After the 60-day retention window ends, your company account becomes eligible for automated deletion. Some records may be retained beyond that period where required or permitted by law, including signed contracts, acceptance documents, billing invoices, and dispute records. 5. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation
- Misrepresent your identity or your company's affiliation
- Upload or transmit unlawful, infringing, harmful, or fraudulent content
- Attempt to access another company's data or accounts
- Reverse engineer, decompile, or disassemble the Service except where permitted by law
- Interfere with, disrupt, or attempt to overload the Service or its underlying infrastructure
- Use the Service to send unsolicited bulk messages
- Resell, sublicense, or commercially redistribute the Service without our written consent
6. Your Content and Customer Data
You retain all rights to the content, customer records, quotes, contracts, signatures, files, and other materials you create, upload, or generate through the Service ("Your Content"). You grant Bidvio a worldwide, non-exclusive license to host, process, transmit, display, and back up Your Content solely as needed to operate and improve the Service.
You are responsible for ensuring that you have the right to collect, upload, store, generate, and send Your Content, including any customer or homeowner information. You are responsible for compliance with applicable consumer protection, cancellation, contracting, privacy, and recordkeeping laws.
7. Intellectual Property
The Service, including all software, documentation, design, text, graphics, logos, and trademarks (other than Your Content), is owned by Bidvio or its licensors and is protected by intellectual property law. Nothing in these Terms transfers any ownership of the Service to you.
8. Third-Party Services
The Service integrates with third-party services, including Firebase, Stripe, Google Sign-In, Apple Sign In, and Apple MapKit. Your use of those services is subject to their own terms and privacy policies. Bidvio is not responsible for the availability or behavior of third-party services.
9. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, to protect the security or integrity of the Service, or to prevent harm to Bidvio or other users.
You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Termination does not entitle you to a refund of pre-paid amounts, except as required by law.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment, to the maximum extent permitted by law.
Bidvio does not provide legal, tax, financial, or contracting advice. Pricing calculations, estimates, proposals, contracts, notices, and acceptance documents generated through the Service are based on settings and inputs you provide. You are responsible for reviewing all such materials before relying on or presenting them to customers.
10.1 Workspace Separation
Bidvio operates the Service as a multi-tenant platform in which each customer's data is organized into a company-scoped workspace. Bidvio applies reasonable commercial measures designed to keep one company's workspace logically separated from other companies' workspaces, including access-control rules, authentication boundaries, and routine review of those controls.
However, no multi-tenant system can guarantee absolute isolation against every possible failure mode — including software defects, infrastructure failures, third-party service incidents, novel attacks, configuration errors, and other events outside Bidvio's reasonable control. Bidvio does not warrant that workspace separation is impossible to breach, will operate without interruption, or will prevent all unauthorized access in every circumstance. Consistent with the broader "as is" disclaimer above, Bidvio makes no warranty of absolute or fault-proof tenant isolation.
Nothing in this Section 10.1 reduces Bidvio's obligations under the Privacy Policy or under applicable data-protection law. In the event of a security incident affecting Your Content, Bidvio will respond and notify affected customers as required by applicable law.
11. Limitation of Liability
To the maximum extent permitted by law, in no event will Bidvio be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, arising out of or related to the Service or these Terms, even if Bidvio has been advised of the possibility of such damages.
Bidvio's total cumulative liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Bidvio for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Bidvio and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a revised "Last Updated" date. If we make material changes, we may provide additional notice through the Service or by email. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the Netherlands, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts of the Netherlands, unless mandatory consumer protection law in your country provides otherwise.
15. App Store Distribution
The Bidvio iPad and macOS apps are distributed through the Apple App Store and are subject to Apple's App Store terms in addition to these Terms. Subscription purchases are processed through the Bidvio billing website and not through Apple in-app purchase.
16. Miscellaneous
These Terms, together with the Privacy Policy and any other policies or agreements referenced here, constitute the entire agreement between you and Bidvio regarding the Service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent.
